Summary of the Dialogue
The event featured an active exchange of views, facilitated by Professor Yanagawa of the University of Tokyo Graduate School of Economics. Based on a pre-recorded briefing video, the session centered on a Q&A with independent directors, Sakie Akiyama and Mari Kogiso. MC’s CSEO Kenji Kobayashi, as well as the general managers of the respective departments were also present and answered several questions.
Key discussion points included:
Corporate Strategy 2027 (CS 2027): The discussion touched on the involvement of independent directors in the strategy formulation process, the vision for the future of MC, and how best to present CS 2027 to the market. The independent directors shared their perspectives regarding the extent of their engagement with the executive team, and highlighted how management’s strategic approach is reflected in the quantitative targets.
Executive Compensation: Participants showed interest in the reasoning behind the revision of the executive compensation structure, and the effectiveness of the independent Compensation Committee. It was explained that the revised compensation structure is designed to align with the KPIs of CS 2027 and enhance value sharing with shareholders, and that the independence of the Compensation Committee better reflects the opinions of MC’s independent directors.
Decarbonization: Questions were raised regarding the progress of the MC’s “Roadmap to a Carbon-Neutral Society,” the positioning of the Company’s EX Strategy, and the balance between sustainability goals and investment returns. In response, the Company shared that strategies are being developed in line with the roadmap from a medium to long-term perspective, and that large-scale projects with significant emissions are actively debated at the Board of Directors.
Shareholder Proposals: Questions were asked about why the advisory proposals were not submitted as agenda items of the General Meeting of Shareholders, as well as about the Company’s audit framework. The Company clarified that it does not view advisory proposals and articles of incorporation amendments as mutually exclusive choices, rather, it prioritizes ongoing dialogue with stakeholders to foster mutual understanding and incorporate feedback into business execution. The Company also explained efforts to strengthen collaboration between the Audit & Supervisory Committee and the Internal Audit Department, and provided updates on efforts stemming from MC’s Roadmap to a Carbon-Neutral Society.
Other Topics: Various other topics were raised, including the strengthening of the female leadership “pipeline” and the significance of introducing the “G Test” (AI/Deep Learning Proficiency Test). The Company shared its fundamental policies and the status of each of these initiatives.
