Recommendation by the Securities and Exchange Surveillance Commission Concerning a Former Employee

Today, the Securities and Exchange Surveillance Commission (SESC) announced that it has recommended to the Prime Minister and the Commissioner of the Financial Services Agency that an administrative monetary penalty payment order be issued against a former employee of Mitsubishi Corporation (“the Company”) in connection with insider trading in violation of the Financial Instruments and Exchange Act.

The Company has fully cooperated with the authorities throughout their investigation and, in parallel, conducted its own internal review of the circumstances surrounding the matter.

Following its review, the Company took disciplinary action against the former employee, including termination of employment.

The Company maintains policies and procedures governing the handling of confidential and material non-public information, as well as internal rules relating to securities transactions, including prohibitions on trading based on insider information. The Company also provides ongoing training to employees to ensure strict compliance with applicable laws, regulations, and internal policies.

The Company takes this matter and the SESC’s recommendation extremely seriously and will continue to strengthen its internal controls and compliance framework, including the management of confidential information and employee training. The Company will take all necessary measures to prevent a recurrence and reinforce a culture of compliance throughout the organization.
